LANBear Software End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you, either an individual or a single entity ("you" or "Licensee"), and LANBear, located at Singapore ("LANBear," "we," "us," or "Licensor"), for the LANBear software, including the LANBear Client Agent, LANBear Vault (Server, Node, and CLI components), and any related updates, documentation, and services (collectively, the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement and, where applicable, an active LANBear subscription, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely in connection with your gaming center's operation as authorized under your LANBear account.
2. License Restrictions
You may not: (a) copy, modify, or create derivative works of the Software except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction; (c) rent, lease, lend, sell, sublicense, or otherwise transfer the Software to any third party without Licensor's prior written consent; (d) remove or alter any proprietary notices on the Software; or (e) use the Software to build a competing product or service.
3. Ownership
The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to LANBear's trademarks or service marks.
4. Data Collection
The Software communicates with LANBear's cloud services to operate, for example session tracking, licensing checks, and remote configuration. Details on what is collected and how it is used are described in our Privacy Policy. By using the Software, you consent to this data exchange as necessary for the Software to function.
5. Updates
Licensor may release updates, patches, or new versions of the Software from time to time. Depending on your configuration, updates may be applied automatically. This Agreement applies to all updates unless a separate license accompanies an update.
6. Term and Termination
This Agreement is effective until terminated. It terminates automatically if you fail to comply with any term of this Agreement, or upon expiration or cancellation of the applicable LANBear subscription. Upon termination, you must cease all use of the Software and uninstall it from all machines. Sections 3 and 7 through 11 survive termination.
7. Disclaimer of Warranty
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Software, even if advised of the possibility of such damages. Licensor's total liability arising out of or related to this Agreement will not exceed the amount you paid Licensor for the Software in the twelve (12) months preceding the claim.
9. Governing Law
This Agreement is governed by the laws of Singapore, without regard to its conflict of laws principles.
10. Changes to This Agreement
Licensor may modify this Agreement from time to time. Material changes will be notified through the Software or LANBear's website. Continued use of the Software after changes take effect constitutes acceptance of the revised Agreement.
11. Entire Agreement; Severability
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements regarding its subject matter. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.
